Terms of Service
Last updated: September 29, 2026
These Terms of Service ("Terms") govern your use of the CountKit application ("the App") provided by NerdLabs ("we," "us," or "our"). By installing or using CountKit, you agree to these Terms.
1. Service Description
CountKit is a Shopify application, embedded in the Shopify admin, for stocktakes and cycle counts. A merchant starts a count for a location (all items, or those from one vendor, of one product type or with a tag), scans or types the quantities on hand, reviews the differences against the on-hand quantities Shopify had when the count started, and applies them to the store's inventory. Counts can be exported as CSV (Micro and Pro plans) and run blind, with expected quantities hidden (Pro plan).
CountKit changes your inventory only when you apply a count. Each item's on-hand quantity then moves by the difference you counted (never below 0), and items you didn't count are set to 0 only if you choose that option. It never changes your products, orders or storefront.
2. Account and Eligibility
- You must have an active Shopify store to use CountKit.
- You must have the authority to grant CountKit access to your Shopify store.
- You are responsible for the counts you and your staff enter, and for reviewing the differences before applying them to your inventory.
- You are responsible for the security of your Shopify account and for who on your staff can access the App.
3. Pricing and Billing
- CountKit offers a Free tier, free forever: 1 count a month, of up to 100 items.
- The Micro tier is $3.99/month and allows unlimited counts of up to 1,000 items each, and CSV export.
- The Pro tier is $7.99/month and allows counts of up to 5,000 items each and adds blind counts.
- Paid tiers are billed through Shopify's billing system. A 7-day free trial applies to your first paid subscription.
- You may change or cancel your plan at any time through Shopify.
- We reserve the right to change pricing with 30 days' notice.
4. Acceptable Use
You agree not to:
- Use the App for any unlawful purpose
- Attempt to reverse engineer, decompile, or extract source code from the App
- Use automated systems to scrape or extract data from the App beyond normal use
- Resell, sublicense, or redistribute access to the App
- Interfere with or disrupt the App's infrastructure
5. Data and Privacy
Your use of CountKit is also governed by our Privacy Policy. By using the App, you consent to the collection and use of data as described therein. CountKit reads your products, inventory and locations only, never customer or order data.
You retain ownership of all your store data and settings. We claim no ownership rights over your data.
6. Third-Party Services
CountKit runs on Shopify's platform and APIs. Your use of the App is also subject to the Shopify Terms of Service. We are not responsible for the availability, accuracy, or policies of third-party services.
7. Accuracy of Information
CountKit works with the information in your store and the counts you enter. While we strive for reliability:
- A count is only as accurate as the scanning and counting done for it; a missed or double scan changes the result.
- Items are matched by barcode, then SKU. Items with missing or incorrect barcodes and SKUs in your store may not be matched.
- CountKit does not guarantee that a count is complete or correct, and it is not responsible for inventory levels that result from applying one.
8. Limitation of Liability
To the maximum extent permitted by law:
- CountKit is provided "as is" without warranties of any kind, express or implied.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.
- We are not liable for inventory discrepancies, overselling, stockouts, lost sales, or other business losses arising from the use of, or reliance on, the App.
9. Service Availability
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We will make reasonable efforts to notify you of planned downtime.
10. Termination
- You may terminate your use at any time by uninstalling the App from your Shopify store.
- We may suspend or terminate your access if you violate these Terms.
- Upon termination, your access tokens are deleted immediately and the data held by the App is deleted when Shopify sends its shop-redaction request (about 48 hours later), per our Privacy Policy. Inventory changes you already applied remain in Shopify.
11. Changes to Terms
We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance. We will notify you of material changes via the App or email.
12. Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved through good-faith negotiation first, then binding arbitration if necessary.
